Statement of Compliance with the German Corporate Governance Code
The German Corporate Governance Code summarizes basic regulations for the management and control of German stock-listed companies and defines generally accepted standards of responsible business conduct and management.
The Code intends to make the management and control of German stock-listed companies transparent and understandable. Thus, confidence of investors, clients, employees and the public into the company shall be strengthened.
Article 161 of the German Public Companies Act (AktG) provides the legal link to the German Corporate Governance Code. Accordingly, KSB as a stock-listed company has to declare once a year that the recommendations of the Government Commission on the German Corporate Governance Code are being complied with; any deviations from the recommendations have to be explained.
KSB has implemented the majority of the recommendations. This is outlined in the below Statements of Compliance.
